Mr. Downey was appointed President and Chief Executive Officer of Elgin Mining Inc. in July 2011 bringing
with him over 25 years of international experience in the resource industry. Prior to joining Elgin Mining Inc. Mr. Downey held the position of President, Chief Executive Officer and Director of Aura Minerals Inc. where he
built the company from a small junior mining company to one with four producing gold mines and a large scale development project. Mr. Downey was President, Chief Executive Officer and Director of Viceroy Exploration Ltd. where he purchased and developed the Gualcamayo project in Argentina before its acquisition by Yamana Gold Inc. in 2006. Mr. Downey also served as President of Oliver Gold Corporation, where he negotiated the merger to form Canico Resource Corp., to develop the Onca Puma Nickel Project in Brazil, which was purchased by
CVRD in 2006 for over $800 million. He has held numerous senior engineering positions at several large-scale
gold mining operations and has also held operating positions at several mining projects for Anglo American Corporation in South Africa. Mr. Downey holds a Bachelor of Science (Hon.) degree in Engineering from Queen’s University in Belfast, Ireland.

Margaret Mason is a partner with Bull Housser & Tupper LLP, and assists
not-for-profit and charitable organizations with their creation, administration and
registration with the Canada Revenue Agency and has particular expertise with
respect to entities involved in environmental and health care matters. Margaret
advises such entities on governance issues and regulatory compliance. She
also advises donors with philanthropic planning. She is widely published and is
a Fellow of the American College of Trust and Estate Counsel. She recently
chaired the British Columbia Law Institute’s Society Act Reform Project.
